Welcome to toprecipes (the “Site”), operated by TopRecipes, Inc. By accessing or using the Site at https://toprecipes.us (the “URL”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree with any part of these Terms, you must discontinue use of the Site immediately.

1. Usage Rights

Subject to your compliance with these Terms, TopRecipes grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Site for personal, non‑commercial purposes. You may:

• Browse recipes, articles, videos, and other content provided on the Site.
• Create a personal account, save favorite recipes, and submit comments or reviews, provided such content complies with Section 2.
• Share publicly available content on social media platforms, provided you retain all attribution notices required by the Content License.

You may not:

• Copy, reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any portion of the Site for commercial purposes without prior written consent from TopRecipes.

2. Content License

All original content (including but not limited to recipes, photographs, videos, text, and graphics) created by TopRecipes and displayed on the Site is owned by TopRecipes or its licensors. This content is licensed to you under a worldwide, royalty‑free, non‑exclusive license to view, download, and share for personal, non‑commercial use, provided you:

• Retain all copyright, trademark, and attribution notices.
• Do not alter the original content in a way that misrepresents the author or source.
• Do not sell, license, or otherwise commercially exploit the content without explicit written permission from TopRecipes.

Any content you submit to the Site (including comments, reviews, photos, and recipes you create) is considered “User Content.” By submitting User Content, you grant TopRecipes a perpetual, irrevocable, royalty‑free, worldwide, non‑exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media now known or later developed, for any purpose related to the Site, including promotional activities.

You represent and warrant that you own all rights to the User Content you submit, that it does not infringe any third‑party rights, and that you have obtained all necessary consents (including from any individuals depicted).

3. Disclaimers

The Site and all content are provided on an “as‑is” and “as‑available” basis without any warranties of any kind, either express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non‑infringement, or accuracy. TopRecipes does not guarantee that:

• The Site will be uninterrupted, error‑free, or free of viruses or other harmful components.
• Any nutritional information, cooking times, or ingredient lists are accurate, complete, or suitable for your dietary needs.
• User‑generated content is reliable, truthful, or free from defamatory or illegal material.

You acknowledge that reliance on any information from the Site is at your own risk. TopRecipes shall not be liable for any health, safety, or dietary issues that may arise from following recipes or advice obtained from the Site.

4. Liability Limitations

To the maximum extent permitted by applicable law, TopRecipes, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to:

• Your access to or use of the Site.
• Any unauthorized access to or alteration of your transmissions or data.
• Content posted by other users or third parties.
• Any errors, omissions, or inaccuracies in the content.

In no event shall TopRecipes’ total aggregate liability exceed the amount you have paid (if any) for access to the Site in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you to the fullest extent permitted by law.

5. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved as follows:

1. Negotiation: The parties shall first attempt in good faith to resolve the dispute through informal negotiations. Either party may initiate negotiations by sending a written notice to the other party’s legal contact at contact@toprecipes.us.
2. Mediation: If the dispute is not resolved within thirty (30) days of the initial notice, the parties agree to submit the matter to non‑binding mediation administered by a mutually agreed‑upon mediator located in the United States.
3. Arbitration: Should mediation fail, any unresolved controversy or claim shall be finally settled by binding arbitration under the rules of the American Arbitration Association (AAA) in the United States. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
4. Governing Law: These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict‑of‑law principles.
5. Venue: All arbitration proceedings shall be conducted in the state of New York, United States, unless the parties agree otherwise in writing.

6. General Provisions

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Amendments. TopRecipes may revise these Terms at any time, provided that the revised Terms are posted on the Site with an updated “Last Updated” date. Continued use of the Site after such posting constitutes acceptance of the revised Terms.

Termination. TopRecipes may, at its sole discretion, suspend or terminate your access to the Site, without notice, for any breach of these Terms or for conduct that TopRecipes deems harmful to the Site or its users.
